Die Alloheim Senioren-Residenzen Zwanzigste SE & Co. KG, vertreten durch ihre persönlich haftende Gesellschafterin Alloheim Senioren-Residenzen SE, mit Sitz in Düsseldorf, eingetragen im Handelsregister des Amtsgericht Düsseldorf unter HRB 73406, hat uns gemäß § 20 Abs. 1, Abs. 4, § 16 Abs. 1 AktG i.V.m. Art. 9 Abs. 1 lit. c) ii) SE-VO mitgeteilt, dass ihr unmittelbar mehr als der vierte Teil der Aktien und eine Mehrheitsbeteiligung i. S. v. § 16 Abs.1 AktG an unserer Gesellschaft gehört.

Alloheim Senioren-Residenzen Zwanzigste SE & Co. KG, represented by its general partner Alloheim Senioren-Residenzen SE, with its legal seat in Düsseldorf, registered in the commercial register of the local court of Düsseldorf under HRB 73406, has notified us in accordance with § 20 para. 1, para. 4, § 16 para. 1 AktG in conjunction with Art. 9 Para 1 lit. c) ii) SE-Council Regulation that it directly owns more than one quarter of the shares and a majority shareholding within the meaning of § 16 para. 1 AktG in our company.

Uns wurde zudem gemäß § 20 Abs. 1, Abs. 4, § 16 Abs. 1 und 4 AktG i.V.m. Art. 9 Abs. 1 lit. c) ii) SE-VO im Namen und im Auftrag der nachfolgenden Gesellschaften folgendes mitgeteilt:

Den in Ziffer 2. lit. a) bis h) genannten Gesellschaften gehören mittelbar jeweils mehr als der vierte Teil der Aktien unserer Gesellschaft sowie eine Mehrheitsbeteiligung i.S.d. § 16 Abs.1 AktG und den unter Ziffer 2. lit. i) und j) genannten Gesellschaften gehören mittelbar jeweils mehr als der vierte Teil der Aktien unserer Gesellschaft.

The companies listed under Section 2. lit. a) to h) each indirectly own more than one quarter of the shares in our company as well as a majority shareholding within the meaning of § 16 para. 1 AktG and the companies listed under Section 2. lit. i) and j) each indirectly own more than one quarter of the shares in our company.

Weiter wurde uns gemäß § 20 Abs. 1, Abs. 3, Abs. 4, § 16 Abs. 1, Abs. 4 AktG i.V.m. Art. 9 Abs. 1 lit. c) ii) SE-VO im Namen und im Auftrag der nachfolgenden Gesellschaften mitgeteilt, dass diesen Gesellschaften mittelbar, ohne Hinzurechnung der Aktien nach § 20 Abs. 2 AktG, jeweils mehr als der vierte Teil der Aktien und eine Mehrheitsbeteiligung i.S.d. § 16 Abs. 1 AktG an unserer Gesellschaft gehört:

Furthermore, we were notified in accordance to § 20 para. 1, para. 3, para. 4, § 16 para. 1, para. 4 AktG in conjunction with Art. 9 para. 1 lit. c) ii) SE-Council Regulation in the name and on behalf of the following companies that these companies each indirectly own more than one quarter of the shares and a majority shareholding in our company within the meaning of § 16 para. 1 AktG, without attributing the shares pursuant to § 20 para. 2 AktG:

Alloheim Senioren-Residenzen Holding SE, mit Sitz in Düsseldorf;

Cidron Atrium SE mit Sitz in Düsseldorf.

Alloheim Senioren-Residenzen SE with its legal seat in Düsseldorf;
•

Alloheim Senioren-Residenzen Holding SE with its legal seat in Düsseldorf;
•

Cidron Atrium SE with its legal seat in Düsseldorf.

Die FORIS Gründungs GmbH und zugleich im Namen und Auftrag der FORATIS AG und FORIS AG hat uns gemäß § 20 Abs. 5 AktG i.V.m. Art 9 Abs. 1 lit. c) ii) SE-VO mitgeteilt, dass der FORIS Gründungs GmbH, FORATIS AG und FORIS AG (alle mit Sitz in Bonn) unmittelbar oder mittelbar keine Aktien an unserer Gesellschaft mehr gehören und damit weder der vierte Teil der Aktien unserer Gesellschaft noch eine Mehrheitsbeteiligung im Sinne des § 16 AktG.

FORIS Gründungs GmbH and also in the name and on behalf of FORATIS AG and FORIS AG notified us in accordance with § 20 para. 5 of the AktG in conjunction with Art. 9 para. 1 lit. c) ii) SE-Council Regulation that FORIS Gründungs GmbH, FORATIS AG and FORIS AG (all with legal seat in Bonn) no longer directly or indirectly own any shares in our company and thus neither the one quarter of the shares in our company nor a majority shareholding within the meaning of § 16 AktG.
